Terms of Use

These Terms of Use (“Terms”) govern access to bizconet.com and the purchase or use of services supplied by Bizconet Digital Solutions Ltd, CAC/RC No. 9682470, trading as BizConet (“BizConet”, “we”, “us”, or “our”).
By using the website, submitting an order, or accepting these Terms at checkout, you agree to them. If you buy on behalf of a business, you confirm that you have authority to bind that business. If you do not agree, do not purchase or use the affected service.
These Terms should be read with our Privacy Policy, the description and price shown at checkout, and any proposal or statement of work agreed for a custom service. Nothing in these Terms removes a right or remedy that cannot lawfully be excluded under the Federal Competition and Consumer Protection Act or another applicable law.
1. Eligibility
You must be at least 18 years old and legally able to enter a contract. If you use a service for a business or another person, you confirm that you are authorised to do so and to provide the information submitted.
2. BizConet services
The exact inclusions, price, billing frequency, delivery method, and any usage limits are those displayed on the product or checkout page when you order, unless a written proposal states otherwise.
2.1 Visibility Check
Visibility Check is a one-time, point-in-time assessment based on the information supplied by the customer and information visible from public online sources at the time of review. It may identify observations, gaps, and recommended actions, but it is not a complete technical, legal, financial, cybersecurity, accessibility, or regulatory audit. Search results, listings, reviews, platforms, and algorithms can change after the report is prepared.
2.2 BizAlerts free channel
Any free BizAlerts channel or general update provides broad educational information. It does not include the personalised tasks, plans, reporting, support, or other entitlements of a paid plan unless expressly stated.
2.3 BizAlerts Growth subscription
BizAlerts Growth provides personalised growth tasks, prompts or reminders, weekly action planning, and periodic activity reporting according to the plan description. A monthly report records activity, recommendations, and information available to the system; it does not independently prove increases in rankings, traffic, leads, sales, or revenue unless verified data sources are expressly connected and included.
2.4 ContentFlow subscription
ContentFlow may provide content plans, draft posts, captions, calls to action, visual direction, prompts, and periodic content reporting according to the purchased plan. Unless expressly included, ContentFlow does not design final graphics, publish to social accounts, obtain third-party licences, or approve regulated claims. You must review names, dates, prices, offers, claims, links, and rights before publishing.
2.5 Custom or done-with-you services
Custom work may be governed by a proposal, quotation, statement of work, or order form. If that document conflicts with these Terms on a matter specific to the custom work, the signed or expressly accepted custom document controls for that matter.
3. Onboarding and customer responsibilities
You agree to:
provide accurate, current, and complete contact, business, and payment information;
submit onboarding information and feedback reasonably needed for delivery;
ensure you have the right to provide all text, images, logos, names, testimonials, customer data, and other materials supplied to us;
review each report, recommendation, or draft before acting on or publishing it;
verify factual, legal, industry-specific, promotional, and pricing claims;
maintain access to the email address used for purchase and check spam or promotions folders; and
use the services lawfully and in accordance with platform rules.
We may rely on the information you provide. If required information or approval is delayed, delivery dates may move, a scheduled item may be skipped, or the service may be paused without extending an already-started billing period where the delay is primarily within your control. We will act reasonably and communicate material delivery issues.
4. Orders, prices, and taxes
The price and currency displayed in the checkout summary at the time of purchase form part of your order. Subscription prices are charged at the frequency stated, such as monthly. A one-time service is charged once unless you place another order.
We will disclose mandatory charges that we control before payment. Your bank, card issuer, mobile network, or payment provider may apply separate charges, exchange rates, or taxes outside BizConet’s control. You are responsible for taxes that the law requires you to pay, while BizConet remains responsible for taxes the law places on BizConet.
A purchase is accepted when payment is confirmed and we send a confirmation or begin delivery. We may correct an obvious pricing or technical error before delivery by offering the correct order or a full refund.
5. Payments and Paystack
Payments are processed through Paystack or another provider identified at checkout. The payment provider’s terms also apply to its payment services. BizConet does not ordinarily store your full card number or security code.
You authorise BizConet and its payment provider to process the one-time charge or recurring subscription charge clearly shown at checkout. You must use a payment method you are authorised to use. Transaction references, receipts, and billing communications may be delivered electronically.
If a charge is duplicated, incorrect, or unauthorised, contact contact@bizconet.com promptly with the transaction reference so we can investigate. Nothing in this section prevents you from using a lawful remedy available through your bank, Paystack, or a regulator.
6. Subscriptions and automatic renewal
Where a plan is described as monthly or recurring:
the subscription begins when the initial payment is confirmed;
it automatically renews at the stated price and frequency until cancelled;
you authorise Paystack to charge the stored payment authorisation on each renewal date;
the renewal date will ordinarily follow the date of the first successful payment, subject to provider processing rules; and
each successful renewal purchases the next service period.
You may cancel at any time using an available subscription-management link or by emailing contact@bizconet.com from the address attached to the subscription. A valid cancellation stops future renewals and ordinarily takes effect at the end of the paid period. Please cancel before the next billing date; a request received after a renewal has already been processed will be handled under the refund section below.
If a payment fails, we or Paystack may retry the charge and send reminders. We may allow a reasonable grace period, pause delivery, or suspend the subscription until payment succeeds. We will not charge for a new period after a cancellation has been properly processed.
7. Price and plan changes
We may change subscription prices, plan inclusions, or reasonable usage limits. A material change affecting an existing subscriber will be notified before it applies to a future renewal. You may cancel before the affected renewal if you do not accept the change. Unless required by law or clearly agreed, a new price will not be applied retrospectively to a completed payment.
8. Cancellations, refunds, and service remedies
This section is intended to be fair and does not restrict a statutory consumer right or remedy.
8.1 One-time digital services
You may request cancellation before work begins. We will refund the amount paid, less any reasonable, disclosed costs or cancellation charge that the law permits and that we have actually incurred.
Once a personalised report or other digital deliverable has been generated or delivered, a refund is not normally available solely because you changed your mind. However, you may be entitled to correction, re-performance, credit, or a refund where there is a duplicate or incorrect charge, non-delivery attributable to BizConet, an unauthorised transaction, or a materially defective service that we do not correct within a reasonable opportunity.
8.2 Subscriptions
Cancellation stops future renewals. Fees for a service period that has already started are not ordinarily refundable or prorated solely for unused days, because capacity, automation, onboarding, and scheduled delivery are allocated for that period. We will nevertheless provide an appropriate remedy where required by law or where a duplicate or incorrect charge, material non-delivery, or uncorrected defective performance has occurred.
8.3 How to request a remedy
Email contact@bizconet.com with the customer email address, service name, transaction reference, date, and a clear description of the issue. Please report a billing error or service problem promptly so it can be investigated. We may first offer to correct or re-perform the service where that is reasonable and lawful.
Approved refunds are returned to the original payment method where practicable. Paystack, the card network, and the customer’s bank control the time required for the refund to appear.
9. Delivery and communications
Email is the primary delivery and service-notice channel unless the product page expressly states otherwise. WhatsApp, SMS, or another channel may be offered for some services, but is not guaranteed merely because you provided a telephone number.
Delivery is considered sent when our system records a successful dispatch to the email address or agreed channel you supplied. This does not remove our responsibility to investigate a genuine non-delivery report. Delivery can be affected by incorrect addresses, spam filters, mailbox limits, third-party outages, public holidays, security checks, or force-majeure events.
You consent to electronic receipts, service emails, renewal notices, reports, and account communications necessary to perform the contract. Marketing messages require the separate permission or lawful basis described in the Privacy Policy.
10. Acceptable use
You must not use the website or services to:
break the law, infringe another person’s rights, or violate a platform’s rules;
create deceptive, discriminatory, defamatory, harassing, fraudulent, or harmful content;
send unlawful spam or collect personal data without a lawful basis;
upload malware, attempt unauthorised access, disrupt systems, or bypass usage or security controls;
impersonate another person or misrepresent your authority;
submit confidential or sensitive data you are not authorised to disclose;
reproduce, scrape, reverse engineer, resell, white-label, or commercially redistribute BizConet systems, templates, task libraries, or reports except with written permission; or
use an automated output as a substitute for required professional advice or mandatory human review.
We may investigate suspected misuse and may suspend or terminate access where reasonably necessary to protect customers, third parties, BizConet, or its providers.
11. Intellectual property and customer materials
BizConet and its licensors retain ownership of the website, brand, software, automations, methods, task libraries, templates, report structure, and pre-existing materials. No ownership transfers unless a written agreement expressly says so.
You retain ownership of materials you supply. You grant BizConet a non-exclusive, worldwide, royalty-free licence for the period reasonably necessary to host, reproduce, adapt, analyse, and use those materials solely to provide, secure, support, and improve the requested service, and to comply with law. You confirm that this licence does not infringe another person’s rights.
After full payment, you may use final customer-specific reports, recommendations, and content drafts for your own internal business and marketing purposes. You may edit and publish customer-specific content, subject to your responsibility to review it. You may not resell or distribute BizConet’s underlying systems, reusable templates, task libraries, prompts, or report framework as a competing or white-labelled product without written permission.
We will not publish your name, logo, testimonial, or customer-specific result as a case study or endorsement without appropriate permission.
12. Confidentiality
Each party will use reasonable care to protect non-public information received from the other and will use it only for the service or another authorised purpose. This obligation does not apply to information that is public without breach, was already lawfully known, is independently developed, is received lawfully from a third party, or must be disclosed by law. Personal data is also governed by the Privacy Policy and applicable data-protection law.
13. Third-party services
BizConet relies on third-party services such as hosting, email, cloud productivity, AI, analytics, communications, and Paystack. We do not control third-party networks, policies, algorithms, search rankings, account restrictions, or platform availability. Your use of a third-party platform is also subject to that platform’s terms.
We are responsible for selecting and managing our providers with reasonable care, but we are not liable for an independent third party’s act or outage beyond our reasonable control except to the extent applicable law provides otherwise.
14. No professional advice
BizConet provides business-support, visibility, marketing, productivity, and content services. Reports, tasks, prompts, and drafts are general or business-specific informational tools; they are not legal, tax, financial, medical, cybersecurity, or regulated professional advice. Obtain qualified advice where your decision requires it.
15. No guaranteed results
We aim to provide services with reasonable care and skill. Business results depend on many factors outside our control, including your execution, market conditions, competition, budget, platform algorithms, customer demand, and data accuracy. We do not guarantee a particular search ranking, traffic level, lead volume, revenue, sales result, audience growth, approval by a platform, or return on investment.
A monthly report is an activity and recommendation report unless verified outcome data is expressly connected. Examples, projections, and testimonials are illustrative and are not promises that another customer will obtain the same result.
16. Suspension and termination
We may suspend or terminate a service on reasonable notice for non-payment, material breach, unlawful use, security risk, abuse, or conduct that threatens another person or our systems. Immediate suspension may be used where delay would create material harm or legal risk.
Where practical, we will give you a reasonable opportunity to correct a remediable breach. Termination does not remove payment obligations for a service period or work already properly supplied. If BizConet terminates a prepaid service without customer breach and does not provide the remaining service, we will provide an appropriate refund or credit for the undelivered portion.
You may stop using a free service at any time and may cancel a paid subscription as described above.
17. Disclaimers and liability
Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, gross negligence, death or personal injury caused by negligence, breach of a non-excludable data-protection duty, defective performance or a statutory consumer right that cannot lawfully be limited.
Subject to that sentence and to the extent permitted by law:
BizConet is responsible only for loss that is a reasonably foreseeable result of its breach or failure to use reasonable care and skill;
BizConet is not responsible for indirect or consequential loss, loss caused mainly by inaccurate customer information, unauthorised customer use, or a third-party event outside BizConet’s reasonable control; and
BizConet’s aggregate liability arising from a paid service will not exceed the amount you paid for the affected service during the six months before the event giving rise to the claim.
The liability cap does not apply where it would be unfair, prohibited, or void under applicable consumer law. If you use a service wholly for business purposes, BizConet is not liable for speculative loss of profit, business opportunity, goodwill, or anticipated savings that was not reasonably foreseeable when the contract was formed.
18. Indemnity for unlawful customer use
To the extent permitted by law, a business customer will indemnify BizConet against a third-party claim arising directly from customer materials that infringe rights, the customer’s unlawful use of the service, or the customer’s material breach of section 10, provided BizConet gives reasonable notice and cooperation. This clause does not require a consumer to indemnify BizConet for BizConet’s negligence, defective performance, misrepresentation, or another obligation that cannot lawfully be shifted.
19. Events beyond reasonable control
Neither party is liable for delay or failure caused by events beyond reasonable control, such as widespread internet or cloud outages, power or telecommunications failure, natural disaster, epidemic, civil disorder, government action, labor disruption, or a major payment-network failure. The affected party must act reasonably to reduce the impact and resume performance. This section does not excuse payment already due or remove a statutory remedy where the service cannot be supplied within a reasonable time.
20. Complaints and disputes
Please first send a complaint to contact@bizconet.com with relevant dates, transaction references, and the remedy requested. We will try to investigate and resolve the matter in good faith.
If the dispute is not resolved, the parties may agree to mediation in Lagos, Nigeria, before court proceedings. These Terms are governed by the laws of the Federal Republic of Nigeria. The courts of competent jurisdiction in Nigeria may hear a dispute, subject to any mandatory consumer right concerning venue or procedure.
Nothing prevents you from approaching the Federal Competition and Consumer Protection Commission, the Nigeria Data Protection Commission, Paystack, your bank, or another competent body where you have a lawful right to do so.
21. Changes to these Terms
We may update these Terms for future use of the website or future purchases. For an active subscription, we will give advance notice of a material change before it applies to a future renewal. Continued use after the effective date constitutes acceptance only to the extent permitted by law. If you do not accept a material subscription change, you may cancel before it takes effect.
22. General terms
If any provision is unlawful or unenforceable, it will be adjusted or removed only to the minimum extent necessary, and the remaining provisions will continue. A delay in enforcing a right is not a waiver. You may not assign a paid service without our written consent; BizConet may assign these Terms as part of a genuine business reorganization or transfer, subject to your rights and the Privacy Policy.
These Terms, the Privacy Policy, the checkout description, and any accepted proposal or statement of work form the entire agreement for the relevant service. A provision intended to continue after termination—including payment, intellectual property, confidentiality, liability, and disputes—will survive as necessary
